Terms of Service

Welcome to LetterListing ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the LetterListing platform (the "Platform") where users can buy and sell ownership rights to email newsletters.

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. Eligibility

To use the Platform, you must be at least 18 years old and capable of entering into legally binding agreements. By using the Platform, you represent and warrant that you meet these requirements.

2. Platform Overview

LetterListing provides a digital marketplace that facilitates the listing, discovery, negotiation, and transfer of ownership of email newsletters. We are not a broker, financial institution, or creditor.

2.1 Role of LetterListing

We act solely as a venue to connect buyers and sellers. We do not take possession of funds or assets and do not guarantee the quality, legality, or accuracy of listings.

2.2 Escrow Payments

All transactions are facilitated through Escrow.com, a third-party escrow service. By using the Platform, you agree to Escrow.com’s terms and conditions. We are not responsible for any actions or omissions by Escrow.com.

3. User Accounts

To use certain features of the Platform, you must create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity under your account.

4. Newsletter Listings

Sellers may list email newsletters for sale. Each listing must be accurate, complete, and not misleading. Sellers must disclose:

  • Subscriber count
  • Revenue and engagement metrics
  • Platform(s) used (e.g., Substack, ConvertKit)
  • Ownership rights and associated IP
  • Any liabilities or restrictions

We reserve the right to remove any listing that violates these Terms.

5. Transaction Process

5.1 Negotiation and Agreement

Buyers and sellers may negotiate terms, including price and asset handover process, directly through the Platform.

5.2 Use of Escrow

All payments must be made through Escrow.com. The escrow process generally includes:

  1. Buyer and seller agree to terms.
  2. Buyer submits funds to Escrow.com.
  3. Seller transfers the newsletter and related assets.
  4. Buyer confirms receipt and satisfaction.
  5. Escrow.com releases funds to the seller.

LetterListing does not handle or store any funds and is not responsible for disputes arising from transactions.

6. Fees

LetterListing charges a service fee on each completed transaction, as outlined on our Pricing Page and a fee for creating NDA protected listings. The buyer is responsible for any fees charged by Escrow.com.

7. Prohibited Activities

You agree not to:

  • List or sell newsletters you do not own or control
  • Misrepresent any aspect of a listing
  • Circumvent the escrow process
  • Use the Platform for illegal purposes
  • Infringe on any intellectual property rights

Violations may result in account suspension or termination.

8. Intellectual Property

You retain ownership of any content you submit to the Platform. By listing a newsletter, you grant LetterListing a non-exclusive license to use, display, and promote your listing.

9. Disclaimers

We provide the Platform “as is” and disclaim all warranties, express or implied. We do not guarantee the success of any transaction, the performance of users, or the functionality of Escrow.com.

10. Limitation of Liability

To the maximum extent permitted by law, LetterListing shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or any transaction conducted through it.

11. Indemnification

You agree to indemnify and hold harmless LetterListing, its affiliates, and its officers, directors, and employees from any claims, liabilities, damages, and expenses arising out of your use of the Platform or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, for any reason, with or without notice.

13. Governing Law

These Terms are governed by the laws of Canada, without regard to its conflict of law principles.

14. Modifications

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
